Completion of the capital increase

Kölleda, 23 August 2019 - As part of the investor agreement concluded on 10 July 2019, Funkwerk AG acquired a total of 1,543,256 shares in euromicron AG, Frankfurt/Main, corresponding to 15.36 % of the company's share capital. The new shares were issued in the form of cash capital increases in two tranches; the subscription price was set at €3.40 per share.

In the first step, Funkwerk AG acquired 717,639 shares in July as part of a private placement excluding shareholders. The second tranche was subscribed in August following merger control clearance in the Federal Republic of Germany and Austria: on the one hand by exercising subscription rights and on the other hand by acquiring those shares that had not been subscribed by the previous shareholders. The total costs of the transaction for Funkwerk amounted to around EUR 5.5 million and were financed from the company's equity.

In its function as a strategic investor, Funkwerk AG intends to play a constructive role in shaping the future orientation of the euromicron Group and further development of its operational activities. By expanding the long-term cooperation, the partners' respective technological solution expertise is to be strengthened, market access expanded and new business models developed.
